General Terms and Conditions

of Vektor AG, Rennweg 45, 8704 Herrliberg, Switzerland (“Vektor AG”). Vektor AG operates the Vektor software product and customer portal.
1. Scope
These Terms govern the contractual relationship between Vektor AG and its customers for the use of Vektor and the electronic services provided through it. By registering, the customer confirms that it has read and accepts these Terms.
2. Formation of the contract
The contract is formed when the customer completes and submits the registration form and Vektor AG provides access to Vektor. Mandatory specific agreements take precedence over these Terms.
3. Services
Through Vektor, Vektor AG provides electronic services for collaboration with fiduciaries and for accounting. The specific scope follows the applicable service description and the functions available in the product. Information in Vektor does not replace professional advice.
4. Use of the customer portal
The customer must keep credentials confidential, protect its devices, and grant access only to authorized persons. It is responsible for the lawfulness, accuracy, and completeness of data entered in Vektor or retrieved through connected services. Unlawful use or deliberate interference with the service is prohibited.
5. Optional bank connection through SIX bLink
- Vektor may offer an optional connection to supported bank accounts through the bLink open-banking platform. For this bank connection, Atlanto AG, Engelgasse 2, 9000 St. Gallen, Switzerland, acts as Vektor AG's sister company and the bLink Service User registered with SIX. Vektor AG remains the issuer of these Terms and the customer's contractual counterparty. SIX BBS AG provides bLink and Consent-as-a-Service (CaaS), and the connected bank is the Service Provider. Additional terms of the bank or SIX may apply.
- Vektor's bLink function is limited to Account Information Services (AIS). With the customer's explicit consent, it retrieves CAMT.053 bank statements and the account, balance, and transaction data contained in them. It does not permit Vektor AG or Atlanto AG to initiate payments or change data at the bank.
- The customer may connect only accounts for which it holds the required authority. It manages access rights and grants access only for authorized persons and organizations.
- Retrieved CAMT.053 statements are stored in Vektor as source documents and processed to create and substantiate accounting records. Disconnecting the bank stops future retrieval but does not delete previously imported statements or accounting records created from them. Those records may remain stored because of contractual or statutory retention duties.
- The customer can disconnect the bank in Vektor. Vektor then attempts to revoke the related CaaS permission. Vektor AG cannot, however, guarantee that authorization will be removed automatically and immediately at every bank or Service Provider.
- A customer ending the bank connection or its contractual relationship with Vektor AG must also revoke the bLink consent at the relevant bank or other responsible Service Provider, where an authorization exists, and verify that it has been removed. This duty also applies after termination or deletion of the Vektor account.
- Availability and processing by SIX, the bank, or other third parties are not under Vektor AG's sole control. Disruptions may delay or interrupt retrieval.
6. Liability
Vektor AG seeks to operate Vektor securely and reliably. To the extent permitted by law, Vektor AG is not liable for indirect loss, lost profits, data loss, incorrect customer data, or outages and actions of third-party providers. Mandatory statutory liability remains unaffected.
7. Fees
Fees and payment terms follow the agreed service description. Third-party services, including bank services, may be charged separately.
8. Suspension and deletion of accounts
Vektor AG may suspend access or terminate the relationship for good cause, in particular for unlawful use or a threat to security. Statutory retention duties and section 5 remain unaffected by account deletion.
9. Affiliated companies and third parties
Services of affiliated fiduciaries or other third parties may be subject to their own terms. These Terms apply to Vektor AG as operator of Vektor. Atlanto AG's role as bLink Service User does not create a separate contract between the customer and Atlanto AG without an express agreement.
10. Data protection
Vektor AG processes personal data under the privacy policy applicable to Vektor. In particular, that policy explains processing related to the bLink bank connection. Personal data may be disclosed to recipients in Switzerland and abroad to provide the services. If data is disclosed to a country without an adequate statutory level of data protection, Vektor AG uses recognized safeguards, in particular suitable standard contractual clauses, or relies on a legal exception.
11. Amendments
Vektor AG may amend these Terms for the future. Customers will receive appropriate notice of material changes. Vektor AG will obtain renewed consent where required. Earlier accepted versions remain documented.
12. Final provisions
Swiss law applies. To the extent permitted by law, the courts at the registered office of Vektor AG in Herrliberg, Switzerland, have jurisdiction.
